This Agreement is between you or the entity you represent ("You" or "Your") and Halvek Technologies ("Halvek") governing Your use of the eBusiness Manager suite of online business management and productivity software.

1. Agreement Structure

This Agreement consists of:

• General Terms (applicable to all services).
• Service-Specific Terms (if any, for individual features).

In case of conflict, Service-Specific Terms prevail.

2. Acceptance

You must be of legal age to enter into this Agreement. By using eBusiness Manager (checking a box, clicking acceptance, or accessing the software), You agree to these terms.

3. Services Provided

Halvek provides eBusiness Manager, a cloud-based business management platform, including web and mobile applications ("Services"). You may use the Services for internal business operations. You are responsible for internet access and required hardware.

4. Beta & Free Trial Services

• Beta Services: Optional preview features; may be modified or discontinued without notice. No warranties apply.
• Free Trial: Temporary access with no guarantees. Data may be lost unless upgraded to a paid plan.

5. User Account Obligations

• Provide accurate registration details (e.g., company email).
• Keep information current. False data may result in account termination.

6. Restrictions

You agree not to:

• Share, resell, or misuse licenses.
• Reverse engineer or hack the software.
• Transmit spam, malware, or illegal content.
• Violate third-party rights or applicable laws.
• Use for competitive analysis or benchmarking.

7. Third-Party Integrations

eBusiness Manager may integrate with third-party apps. You must comply with their terms. Halvek is not liable for third-party services.

8. Fees & Payments

• Subscriptions auto-renew unless canceled ≥7 days before renewal.
• Taxes (GST/VAT) apply where required; Halvek will issue compliant invoices.
• Price changes apply after the current billing cycle.

9. Data Ownership & Privacy

• You own your data; Halvek processes it only to deliver Services (see Privacy Policy).
• You are responsible for account security and unauthorized access.

10. Termination & Suspension

• Halvek may suspend accounts for violations, inactivity, or legal requests.
• You may terminate if Halvek breaches this Agreement (eligible for prorated refund).

11. Modifications

Halvek may update terms with 30 days' notice. Continued use = acceptance.

12. Disclaimer & Liability

• No Warranty: Services are provided "as-is."
• Liability Cap: Limited to fees paid in the last 12 months or UGX 2,000,000 (whichever is higher).

13. Governing Law

Disputes will be resolved under the laws of Uganda..
